Welcome to P0 / Project 0, a frontend operated by MRGN, Inc. (“MRGN,” “we,” “our,” or “us”). These Terms of Use (“Terms”) govern your access to and use of 0.xyz, app.0.xyz, and any related features, content, interfaces, or services we operate (collectively, the “Service”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

1. Eligibility

You must be at least 18 years old, or the age of majority in your jurisdiction, to use the Service.

By using the Service, you represent and warrant that:

You meet the eligibility requirements above;
You have the full right, power, and authority to enter into these Terms;
You are not prohibited from using the Service under applicable law;
You are not located in, organized in, ordinarily resident in, or acting on behalf of any person or entity located in a jurisdiction where use of the Service would be prohibited by applicable law.

2. Service Description

The Service is a non-custodial software frontend that enables users to interact with decentralized, Solana-based blockchain protocols and related on-chain services.

The Service is a software interface only. MRGN does not:

Hold, custody, or control user funds;
Manage private keys, seed phrases, or wallet credentials;
Accept, hold, transmit, settle, or transfer digital assets or fiat currency on behalf of users;
Execute transactions on your behalf;
Guarantee transaction execution, confirmation, settlement, or outcomes;
Provide investment, legal, tax, brokerage, custodial, banking, or financial advice.

Transactions are initiated, signed, and submitted by you through your wallet or other third-party infrastructure. You are solely responsible for your wallet, private keys, seed phrases, digital assets, transactions, and interactions with blockchain protocols.

3. No Broker, Adviser, Exchange, Fiduciary, or Financial Institution

MRGN is not a broker, dealer, exchange, investment adviser, commodity trading adviser, lender, money transmitter, bank, custodian, fiduciary, or financial institution.

Nothing available through the Service constitutes investment advice, financial advice, trading advice, legal advice, tax advice, or any recommendation to buy, sell, hold, borrow, lend, stake, swap, bridge, or otherwise transact in any digital asset.

No relationship between you and MRGN creates any fiduciary, advisory, agency, trust, brokerage, or similar relationship. You are solely responsible for evaluating whether any transaction, protocol interaction, or digital asset activity is appropriate for you.

4. User Responsibilities

You agree that you will:

Use the Service only in compliance with applicable laws and regulations;
Maintain sole responsibility for safeguarding your wallet, private keys, seed phrases, passwords, and credentials;
Review and understand all transactions before signing or submitting them;
Verify all addresses, assets, amounts, fees, permissions, approvals, and smart contract interactions before signing;
Be solely responsible for any taxes, reporting obligations, or legal requirements arising from your use of the Service;
Not use the Service for any illegal, fraudulent, deceptive, manipulative, abusive, or harmful purpose;
Not attempt to interfere with, disrupt, damage, exploit, or gain unauthorized access to the Service or related systems;
Not use the Service to violate sanctions, anti-money laundering, anti-terrorism financing, export control, or other applicable laws.

5. Sanctions and Restricted Use

You may not use the Service if you are located in, organized in, ordinarily resident in, or acting on behalf of any person or entity located in a jurisdiction subject to comprehensive sanctions or embargoes administered by the U.S. Department of the Treasury’s Office of Foreign Assets Control (“OFAC”) or any other applicable sanctions authority.

You may not use the Service if you are listed on any sanctions list, including the Specially Designated Nationals and Blocked Persons List, or if you are owned or controlled by any sanctioned person or entity.

You may not use the Service to evade sanctions, facilitate prohibited transactions, or interact with blocked persons, blocked addresses, sanctioned protocols, or other restricted parties.

We may restrict, block, suspend, or terminate access to the Service, including by wallet address, IP address, jurisdiction, or other risk-based criteria, where we reasonably believe such action is necessary for legal, compliance, security, or risk-management reasons.

6. Assumption of Risk

You understand and accept the risks associated with blockchain technology, digital assets, decentralized protocols, and non-custodial software.

These risks include, but are not limited to:

Irreversible transactions;
Loss of private keys, seed phrases, wallet access, or digital assets;
Smart contract bugs, exploits, failures, or vulnerabilities;
Oracle failures, stale data, or inaccurate data;
Network congestion, downtime, forks, or other blockchain disruptions;
Liquidations, margin calls, slippage, price impact, and market volatility;
Variable borrow rates, supply rates, funding rates, rewards, and yields;
Loss of collateral;
Stablecoin, liquid staking token, or other asset depegging;
Liquidity shortages, withdrawal delays, or unavailable markets;
MEV, sandwiching, front-running, or transaction reordering;
Protocol governance changes, parameter changes, or emergency actions;
Protocol insolvency, bad debt, or socialized losses;
Incorrect balances, prices, APYs, health factors, risk parameters, or other data shown through the Service;
Cyberattacks, phishing, spoofing, front-end attacks, malicious browser extensions, compromised devices, or malicious third-party activity;
Regulatory changes, enforcement actions, or restrictions.

You acknowledge that MRGN does not control the Solana network, third-party protocols, smart contracts, wallet providers, validators, bridges, RPC providers, or other third-party infrastructure. You use the Service at your own risk and accept the possibility of partial or total loss of digital assets.

7. Interface, Data, and Transaction Disclaimers

The Service may display information from public blockchains, third-party protocols, third-party data providers, wallets, RPC providers, or other infrastructure.

Any rates, rewards, balances, prices, APYs, health factors, liquidation thresholds, risk indicators, token metadata, charts, analytics, or other information displayed through the Service are provided for convenience only and may be incomplete, delayed, inaccurate, or different from on-chain values.

You are solely responsible for verifying all information before signing or submitting any transaction.

MRGN is not responsible for:

Failed, delayed, rejected, reverted, misdirected, or irreversible transactions;
Incorrect or stale information displayed through the Service;
Wallet prompts, transaction previews, or transaction simulations;
Network fees, priority fees, protocol fees, or other charges;
Losses arising from reliance on information displayed through the Service.

8. Third-Party Services and Protocols

The Service may display, link to, route transactions through, or integrate with third-party services, wallets, decentralized applications, protocols, smart contracts, RPC providers, analytics providers, bridges, or other infrastructure.

MRGN does not control, endorse, guarantee, or assume responsibility for any third-party service, protocol, smart contract, wallet, or infrastructure provider.

Your use of third-party services is at your sole risk and may be subject to separate terms, policies, fees, and risks.

9. Fees and Compensation

Blockchain transactions may require network fees, priority fees, protocol fees, or other charges. These fees may be set by blockchain networks, protocols, validators, third-party providers, or other parties and may change without notice.

Unless expressly stated, MRGN does not control third-party fees.

MRGN may receive fees, rebates, incentives, referral fees, protocol incentives, or other compensation from protocols, service providers, or other third parties in connection with the Service. Unless expressly stated, such compensation does not create any recommendation, endorsement, fiduciary duty, advisory relationship, or guarantee regarding any protocol, asset, transaction, or service.

10. Rewards, Points, and Incentives

The Service may display or support points, rewards, incentives, campaigns, referrals, quests, promotional programs, or similar features.

Any such programs are promotional only and may have no monetary value. They do not guarantee any token allocation, payment, distribution, ownership interest, or other benefit.

MRGN may modify, suspend, discontinue, revoke, or change the eligibility criteria for any points, rewards, incentives, campaigns, referrals, or similar programs at any time, with or without notice.

You are solely responsible for any tax consequences associated with rewards, incentives, or similar programs.

11. Prohibited Conduct

You may not use the Service to:

Violate any applicable law, regulation, court order, sanctions program, or legal obligation;
Engage in fraud, market manipulation, money laundering, terrorist financing, sanctions evasion, or other illegal activity;
Infringe or violate the rights of others;
Upload, transmit, or distribute malicious code;
Interfere with or disrupt the Service or related infrastructure;
Attempt to reverse engineer, exploit, scrape, crawl, or access the Service in an unauthorized manner;
Circumvent access controls, rate limits, geographic restrictions, or security measures;
Use automated systems, bots, scripts, or other tools in a manner that burdens or disrupts the Service;
Use the Service on behalf of any person or entity prohibited from using it;
Misrepresent your identity, location, or eligibility to use the Service.

We reserve the right to restrict, suspend, or block access to the Service where we reasonably believe use may violate these Terms, applicable law, or the security or integrity of the Service.

12. Interface Security

You are responsible for verifying that you are accessing the authentic Service and for reviewing all wallet prompts before signing.

MRGN is not responsible for losses arising from:

Phishing or spoofed websites;
Malicious links or fraudulent domains;
Malicious browser extensions;
Compromised devices or wallets;
DNS attacks;
Wallet vulnerabilities;
RPC failures;
Third-party infrastructure failures;
User error;
Unauthorized access to your wallet or credentials.

13. Intellectual Property

The Service, including its design, interface, text, graphics, logos, branding, software, and other content, is owned by MRGN or its licensors and is protected by applicable intellectual property laws.

Subject to your compliance with these Terms, MRGN grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for personal or internal business purposes.

You may not copy, modify, distribute, sell, lease, reverse engineer, or create derivative works from the Service except as permitted by applicable law or with our prior written consent.

14. Privacy

Your use of the Service is also governed by our Privacy Policy, which explains how we collect, use, disclose, and protect information.

By using the Service, you acknowledge that we process information as described in the Privacy Policy.

15. Changes to the Service

We may modify, suspend, discontinue, restrict, or disable access to all or part of the Service at any time, with or without notice, including for maintenance, security, legal, compliance, risk, or operational reasons.

We are not responsible for any losses resulting from unavailable, delayed, modified, restricted, or discontinued access to the Service.

16. Disclaimers

The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

To the fullest extent permitted by law, MRGN disclaims all warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, security, reliability, and uninterrupted operation.

We do not warrant that:

The Service will be secure, uninterrupted, or error-free;
Defects or errors will be corrected;
Transactions will be executed, confirmed, or settled as intended;
Any protocol, wallet, smart contract, or third-party service will be safe or reliable;
Any information displayed through the Service will be complete, accurate, or current;
The Service will meet your expectations or requirements;
The Service will remain available in any particular jurisdiction.

17. Limitation of Liability

To the fullest extent permitted by law, MRGN and its affiliates, officers, directors, employees, contractors, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, digital assets, or business opportunities, arising out of or related to your use of or inability to use the Service.

To the fullest extent permitted by law, MRGN’s total liability for any claim arising out of or relating to these Terms or the Service will not exceed the greater of:

USD $100; or
The amount you paid directly to MRGN, if any, for use of the Service in the twelve months preceding the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

18. Indemnification

You agree to indemnify, defend, and hold harmless MRGN and its affiliates, officers, directors, employees, contractors, agents, and licensors from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to:

Your use of the Service;
Your violation of these Terms;
Your violation of applicable law;
Your violation of any third-party rights;
Your wallet activity, transactions, or interactions with blockchain protocols;
Your misuse of any data, content, or information available through the Service.

19. Changes to These Terms

We may update these Terms from time to time.

If we make changes, we will post the updated Terms with a revised effective date. Your continued use of the Service after updated Terms are posted means you accept the updated Terms.

20. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict-of-law principles.

You and MRGN agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in Delaware, unless otherwise required by applicable law.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions will remain in full force and effect.

The invalid, illegal, or unenforceable provision will be modified to the minimum extent necessary to make it valid and enforceable, if possible.

22. Entire Agreement

These Terms, together with any policies or additional terms incorporated by reference, constitute the entire agreement between you and MRGN regarding the Service and supersede any prior or contemporaneous agreements regarding the Service.
